Victanis has acted as the sole M&A Advisor to Apleona, a leading international integrated facilities services provider and a portfolio company of Bain Capital, on the acquisition of Morrison Facilities Services Limited (“Morrison”). This transaction adds a multidisciplinary technical and integrated FM services business to Apleona, strengthening its customer focus and geographic capabilities in the UK market.
Established for over three decades, Morrison is based in Livingston and employs c. 300 people. The company provides technical and integrated facility services across Scotland and in the South of England, mainly focusing on public sector clients such as schools, universities and healthcare facilities.
Victanis introduced the opportunity to Apleona and advised throughout the process, providing the strategic and M&A guidance required to:
- Position Apleona as the best long-term home for the business — on strategic fit, operational credibility and delivery capability,
- Support the journey to securing the deal through clear articulation of Apleona’s value proposition, integration approach and customer outcomes,
- Successfully manage the acquisition process including valuation, due diligence and SPA negotiations to completion.
This process underscores Victanis’ growing position as a leading advisor to investors and businesses within Technical Facilities Services across the UK and Europe.
