Victanis conseille London Building Control dans son rapprochement avec Bureau Veritas UK.

Victanis Advisory Services has been acting as the exclusive corporate advisor throughout the preparation and successful sales process of London Building Control (LBC), a leading provider of building control services across the UK. LBC has been acquired by Bureau Veritas Group.

LBC is a market leading Registered Building Control Approver (RBCA), a Building Control Body that is approved and regulated by the BSR and is qualified to undertake building control work on all types of structures and projects. The business is based in London with offices in Manchester, Hertfordshire, Exeter, Chichester, Birmingham and Norwich. LBC was founded by Chris Wigley in 2006 and has now grown to employ ~120 staff permanently.

The acquisition of LBC and its highly complementary technical expertise enables Bureau Veritas to strengthen its portfolio of services available to the construction and property markets in the UK and to further enhance its existing building control business in the UK.

Victanis played a crucial role in the acquisition, advising LBC on preparing the business to go to market, managing a competitive sales process, including due diligence and negotiating the SPA. The team’s strategic guidance and professional support were instrumental in guiding this transaction to a successful completion.

Martyn Janzemin, on behalf of the LBC board, comments: “Victanis have been exceptional in guiding LBC through the process of positioning the company for stability and further growth in the future. During a time of significant change, Victanis patiently worked with the business and other advisors to educate, facilitate and ultimately present LBC to its best advantage, successfully identifying an attractive partner in BV. Victanis also expertly handled the subsequent DD process and negotiations to ultimately achieve a very satisfactory conclusion.”

Antoine Giros, CEO of Bureau Veritas UK, says: “The acquisition of London Building Control marks a significant milestone in the development of Bureau Veritas’ footprint in the UK. In line with our LEAP 28 strategy, this acquisition will strengthen our capabilities in the Building & Infrastructure market in the UK. Together, London Building Control and Bureau Veritas will play a major role in enabling and accelerating the transformation of the UK building control industry. I would like to thank Victanis for introducing LBC to Bureau Veritas and for driving the acquisition process in such a professional way.”

Victanis’ TIC team specialises in strategic consultancy as well as transaction support on both the buy and sell side. If you are interested in successfully growing your own business in this space or want to understand more about M&A in this sector, please don’t hesitate to get in contact.
