Challenges

Our client, renowned software publisher in the field of large IT infrastructure management, had set up a subsidiary in Germany in the early 2000s. Despite a dozen customers having been successfully secured, the company had closed because growth objectives were not reached and the company had struggled to be profitable.

The appointment of a new management team and the launch of new technical solutions lead our client to turn to Victanis to analyse the opportunity to reposition itself in Germany and to develop a pertinent long-term entry strategy.

Approach

  • Firstly, Victanis conducted a competitive analysis of IT infrastructure solutions in Germany and a review of the companies developing or distributing these, as well as an analysis of the development potential of the existing customers of our client.

  • In parallel, options for commercial development plans were been proposed.

Results

The Victanis analysis demonstrated the strategic and commercial rationale for the repositioning in Germany of its Client. The customer was convinced and decided to recreate a legal entity (GmbH) based in Frankfurt. Victanis recruited the initial management team of 5 people. The visibility of the Client’s activities in Germany have been noticed by the market and have contributed to the interest of a US fund for the acquisition of this French player in IT infrastructure that had become European.

M&A support to constellation, INC, Canadian Software Group, in the acquisition of EUREKA TECHNOLOGY, a french TMS Software Specialist

Challenges

Constellation is a software group dedicated to vertical markets with a focus on the Transport & Logistics sector.

Victanis was required to identify a number of companies in France within the Transport & Logistics sector and approach of selected number of French TMS players..

We also needed to work at the technological level to understand the different solutions, on-premise, SaaS, provide  to customers..

Approach

  • Victanis mapped all the players acting in the Transport & Logistics  software French market .to  get a full understanding of size and type of services provide by these companies.

  • Once Victanis has produced this long list, we have selected a number of companies based on  Constellation criteria.  Then, Victanis approached 15 to 20 players with the objective to present Constellation project and open a discussion with willing partners.

Results

  • Victanis was able to present Constellation with 5 companies open to discuss strategic partnership.

  • Constellation bought Eureka Technology. Victanis supported the Canadian group during all the different phases from Identification, to target approach, valuation, Due Diligence and closing.

A company focused on a very specific market: Master Data Management (MDM) and Product Data Management (PIM).

  • Multiple discussions with Shareholders and the Management team to understand the activity, products, and market, to produce an Information Memorandum and complete financial pack including historical data and a future Business Plan

  • Build a list of potential strategic partners and approach these qualified strategic partners with a company teaser produced by Victanis

  • Organise Management Presentations

     

  • Assist the shareholders in the negotiation phase leading to the signing of a Letter of Intention.

     

  • Coordinating the Due Diligence, and the SPA  negotiation. Manage the entire process to closing and completion

Results

  • Victanis was able, to present to DataFIRST shareholders with a number of Strategic Partners.

  • After careful review and guided consideration, DataFIRST entered in exclusivity with one of them.
