French leader in the distribution of spare parts for electrical appliances

Challenges

Our client was a group specialised in the B2B distribution of spare parts and accessories of household appliances with a turnover of €35m.

Its persistent challenge was to obtain the best possible prices on the articles it resells and the best customer care service compared to its competitors and new entrants specialised in B2C transactions. A key to successfully tackle this challenge was the development of the group in Germany.

 

Approach

  • Victanis was commissioned to perform an in-depth analysis of the German market and to propose realistic market entry scenarios through organic growth or acquisitions. Prerequisites, opportunities and associated risks were identified for each scenario. The market study included a mix of primary research (interviews with selected stakeholders) and secondary research.

  • Victanis then organised a roadshow for their client in Germany to meet possible customers and suppliers and help decide therefore on the most appropriate scenario.

Results

Following the delivery of its recommendations, Victanis is currently leading the implementation of the mixed strategy that has been chosen by their client and which includes some organic development in one region and some corporate development in another.

In addition, the analysis of the German market made it possible to better assess the threat posed by the B2C players and consequently has confirmed the need for a swift internationalisation of our client's business.

How Victanis supported an international Automotive Engineering company, from start to finish in their acquisition of a company in Germany

Challenges

An international Automotive Engineering company wondered which German companies, through partnership or acquisition, would support its strategy to grow its expertise and skills in digitizing its production processes.

Approach

  • Victanis first supported its client in defining the key issues and strategic objectives, given the many companies that are active in the targeted market in Germany.

  • On the basis of this initial analysis, a specific industrial project was built and a subset of companies was selected and approached by Victanis for potential acquisition.

Results

The rigorous strategic approach led to the acquisition of a company with a turnover of € 27m. Victanis led the entire process to the acquisition of the target (Pricing, Letter of Intent, steering of the advisers retained for due diligences and producing the SPA).

By defining upfront an industrial project (not only financial) and inviting them to be part of it, Victanis and its client won the confidence of the chosen acquisition targets.

Lyophitech

Challenges

Founded in 2017, Lyophitech is a French pioneer in the breakthrough technology of dynamic freeze-drying (lyophilization). The Company designs and manufactures machines for the pharmaceutical and biotechnology industries.

Traditional industrial processes rely on heavy and expensive static freeze-drying equipment. After successfully selling its first machines, Lyophitech fcaed the challenge of establishing its dynamic approach as the industry standard and capturing a significant share of the lyophilization market, where high-quality freeze-drying is essential.

 

Approach

  • Victanis was engaged by MBCI Industries to support its acquisition of Lyophitech shares so that MBCI could provide financial backing and sector-specific expertise.

  • The objective was to strengthen the management team and accelerate the company’s development.

  • Victanis managed discussions and negotiations with various stakeholders in Lyophitech (including M&A sell-side advisors and angel investors) to facilitate MBCI Industries' acquisition of a majority stake in the company.

Results

MBCI Industries is now the majority shareholder of Lyophitech. As a result, the company has renewed its leadership team, bringing in experienced managers and engineers. An ambitious new business plan has been put in place.

The company's goal is now to drive growth by substituting traditional static freeze-drying processes with its dynamic technology, positioning Lyophitech as an industry leader.

M&A Support to TPL vision shareholders in the selling process

Our client required M&A support following his decision to join forces with a strategic partner within a market driven by international players.

A company structured with 2 operating sites, one in France for the manufacturing activity, and one in Scotland with the commercial team.

  • Multiple discussions with Shareholders and the Management team to understand the activity, products, and market, to produce an Information Memorandum and complete financial pack including historical data and a future Business Plan

  • Build a list of potential strategic partners and approach these qualified strategic partners with a company teaser produced by Victanis

  • Organise Management Presentations

  • Assist the shareholders in the negotiation phase leading to the signing of a Letter of Intention.

  • Coordinating the Due Diligence, and the SPA  negotiation. Manage the entire process to closing and completion

Results

  • Victanis was able, to present to TPL Vision shareholders with numerous potential Strategic Partners.

  • After careful review and guided consideration, TPL Vision entered in exclusivity with one of them.

  • After less than 1 year the transaction was successfully completed with a European partner.
